These Terms of Use (“Terms”) govern your access to and use of the services provided by:

(“HashWhale”, “Company”, “we”, “us”, or “our”)

By accessing or using the HashWhale Platform, you agree to be legally bound by these Terms. If you do not agree, you must immediately discontinue use.

1. About the Platform

The HashWhale platform (the “Platform”) includes our website, mobile application, APIs, and related services.

We provide digital asset-related services, which may include:

Digital asset earning products
Digital asset lending and borrowing
Digital asset swaps
On/Off ramp integrations
Wallet and account tools

Certain products may be subject to additional product-specific agreements.

2. Eligibility & Representations

By using the Platform, you represent and warrant that:

You are at least 18 years old;
You have full legal capacity;
You are not located in or a resident of a restricted jurisdiction;
You are not subject to sanctions;
Your use complies with applicable laws.

We may refuse, suspend, or terminate access at our discretion.

3. Account Registration

To use certain services, you must:

Register an account
Provide accurate and complete information
Complete identity verification (KYC/KYB)
Maintain the confidentiality of login credentials

You are solely responsible for all activity under your account.

4. Compliance & Risk Controls

HashWhale maintains a risk-based AML/CFT framework, including:

Identity verification
Sanctions screening (UN, OFAC, EU, etc.)
Ongoing monitoring
Suspicious activity reporting

We may suspend or freeze accounts where required by law or internal risk assessment.

5. Risk Disclosure

Digital assets are volatile and high risk.

Risks include but are not limited to:

Market price fluctuations
Regulatory changes
Technical vulnerabilities
Irreversible transactions
Cybersecurity risks

Digital assets are not insured deposits.

HashWhale does not provide investment advice.

You accept all risks associated with use of the Platform.

6. Fees & Payments

Fees will be disclosed prior to transaction confirmation.

If platform credits or tokens (including “Whales”) are offered:

They may be non-refundable
They may be non-withdrawable
They may only be used for designated services

You are responsible for taxes arising from your activity.

7. Prohibited Conduct

You agree not to:

Use the Platform for unlawful purposes
Engage in fraud, manipulation, or abuse
Circumvent compliance controls
Use VPN or IP-masking tools to bypass restrictions
Register multiple accounts for exploitation
Use services on behalf of third parties without authorization

Violations may result in suspension or legal action.

8. Restricted Jurisdictions

Services are not available to:

Residents of the United States, Singapore, mainland China, Hong Kong, Cuba, Iran, North Korea, Syria, Crimea region, or other sanctioned jurisdictions;
Individuals or entities subject to sanctions;
Persons restricted under internal compliance policies.

This list may be updated at any time.

9. Suspension & Termination

We may suspend or terminate your account if:

Required by law
Suspicious activity is detected
You breach these Terms
Risk management concerns arise

Outstanding obligations survive termination.

10. Limitation of Liability

To the fullest extent permitted by law:

We are not liable for indirect or consequential damages;
We do not guarantee uninterrupted service;
Our total liability shall not exceed the fees paid by you in the preceding 12 months.

11. Intellectual Property

All content and materials on the Platform are owned by HashWhale or its licensors.

You may not reproduce or distribute without permission.

12. Indemnification

You agree to indemnify HashWhale against any claims or losses arising from:

Your breach of these Terms
Your misuse of the Platform
Your violation of applicable laws

13. Amendments

We may update these Terms at any time.

Continued use constitutes acceptance of revised Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of Singapore.

Parties agree to attempt good-faith negotiation before initiating legal proceedings.

Disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
