These Terms of Use (“Terms”) govern your access to and use of the services provided by:

HASHWHALE LLC

A limited liability company registered with the U.S. Financial Crimes Enforcement Network (FinCEN) as a Money Services Business (Registration No. 31000333948561)

(“HashWhale”, “Company”, “we”, “us”, or “our”)

By accessing or using the HashWhale Platform, you agree to be legally bound by these Terms. If you do not agree, you must immediately discontinue use.

“HashWhale” is a brand used by the HashWhale group of companies. Unless a product-specific agreement expressly states otherwise, the provider of the Services under these Terms, and your contracting party, is HashWhale LLC.

1. About the Platform

The HashWhale platform (the “Platform”) includes our website, mobile application, APIs, and related services.

Through the Platform, HashWhale LLC provides the following services:

• The HashWhale Card (virtual and physical), a payment card programme managed by HashWhale LLC and issued by a licensed third-party card issuer. Use of the card is subject to these Terms and to any card-specific terms presented to you when you apply for or activate the card;
• Stablecoin wallet and account tools used to deposit, hold, withdraw and convert supported stablecoins for the purpose of funding the HashWhale Card.

Certain products are subject to additional product-specific agreements (including any card-specific terms), which prevail over these Terms in respect of that product. Any other product or feature described on the Platform is not offered under these Terms; it is offered only where, and only by a HashWhale entity that is, appropriately licensed or registered to provide it, as identified in the applicable product-specific terms.

2. Eligibility & Representations

By using the Platform, you represent and warrant that:

• You are at least 18 years old;
• You have full legal capacity;
• You are not located in or a resident of a restricted jurisdiction;
• You are not subject to sanctions;
• Your use complies with applicable laws.

We may refuse, suspend, or terminate access at our discretion.

3. Account Registration

To use certain services, you must:

• Register an account
• Provide accurate and complete information
• Complete identity verification (KYC/KYB)
• Maintain the confidentiality of login credentials

You are solely responsible for all activity under your account.

4. Compliance & Risk Controls

HashWhale LLC, as a FinCEN-registered Money Services Business, maintains a risk-based AML/CFT and sanctions compliance framework, including:

• Identity verification
• Sanctions screening (UN, OFAC, EU, etc.)
• Ongoing monitoring
• Suspicious activity reporting

We may suspend or freeze accounts where required by law or internal risk assessment.

5. Risk Disclosure

Digital assets are volatile and high risk.

Risks include but are not limited to:

• Market price fluctuations
• Regulatory changes
• Technical vulnerabilities
• Irreversible transactions
• Cybersecurity risks

Digital assets are not insured deposits.

HashWhale does not provide investment advice.

You accept all risks associated with use of the Platform.

6. Fees & Payments

Fees will be disclosed prior to transaction confirmation.

If platform credits or tokens (including “Whales”) are offered:

• They may be non-refundable
• They may be non-withdrawable
• They may only be used for designated services

You are responsible for taxes arising from your activity.

7. Prohibited Conduct

You agree not to:

• Use the Platform for unlawful purposes
• Engage in fraud, manipulation, or abuse
• Circumvent compliance controls
• Use VPN or IP-masking tools to bypass restrictions
• Register multiple accounts for exploitation
• Use services on behalf of third parties without authorization

Violations may result in suspension or legal action.

8. Restricted Jurisdictions

Services are not available to:

• Residents of the United States, Singapore, mainland China, Hong Kong, Cuba, Iran, North Korea, Syria, Crimea region, or other sanctioned jurisdictions;
• Residents of any other jurisdiction in which the HashWhale Card may not be issued or used under applicable card network rules or the requirements of the card issuer, as published on the Platform from time to time;
• Individuals or entities subject to sanctions;
• Persons restricted under internal compliance policies.

This list may be updated at any time.

9. Suspension & Termination

We may suspend or terminate your account if:

• Required by law
• Suspicious activity is detected
• You breach these Terms
• Risk management concerns arise

Outstanding obligations survive termination.

10. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for indirect or consequential damages;
• We do not guarantee uninterrupted service;
• Our total liability shall not exceed the fees paid by you in the preceding 12 months.

11. Intellectual Property

All content and materials on the Platform are owned by HashWhale or its licensors.

You may not reproduce or distribute without permission.

12. Indemnification

You agree to indemnify HashWhale against any claims or losses arising from:

• Your breach of these Terms
• Your misuse of the Platform
• Your violation of applicable laws

13. Amendments

We may update these Terms at any time.

Continued use constitutes acceptance of revised Terms.

14. Governing Law & Dispute Resolution

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the United States and of the State in which HashWhale LLC is organised.

Parties agree to attempt good-faith negotiation before initiating legal proceedings.

Any dispute that is not resolved by good-faith negotiation within thirty (30) days shall be subject to the exclusive jurisdiction of the state and federal courts located in the State in which HashWhale LLC is organised, United States.
